By accessing our website, purchasing a service, subscribing to a plan, making a payment, or entering into a written service agreement with us, you agree to these Terms & Conditions.

If you do not agree to these terms, please do not use our website or purchase our services.

Business identity: Before publication, insert the exact registered legal name of the entity operating Cogitaxis, its registered office address, and applicable business registration details.

3. Services Offered

Cogitaxis may offer the following services, subject to availability and the applicable proposal, plan, or agreement.

3.1 Digital Marketing Services

  • Search Engine Optimisation (SEO) and Local SEO.
  • Search Engine Marketing (SEM), PPC, and paid advertising management.
  • Social media marketing and account management.
  • Content marketing and content development.
  • Lead generation and conversion optimisation.
  • Online reputation management and related marketing services.

3.2 AI and Subscription-Based Services

  • WhatsApp AI chatbot development and integration.
  • AI-powered automation, conversational interfaces, and workflow solutions.
  • Subscription-based software and digital tools.
  • AI integrations and other services described on our website or in a service proposal.

Certain products, including WaLingo, may have additional product-specific terms, usage limits, privacy notices, subscription conditions, or technical restrictions. Those terms apply in addition to these general Terms. If a product-specific agreement expressly conflicts with these Terms, the product-specific agreement will govern that subject.

3.3 Website and Application Development

  • Website design and development.
  • E-commerce website development.
  • Web and mobile application development.
  • Custom software, API integrations, and automation development.
  • Website maintenance, hosting coordination, and technical support where separately agreed.

The exact services available, deliverables, features, and support commitments will be specified in the relevant quotation, subscription plan, project proposal, or written agreement.

4. Service Scope and Engagement

For project-based services, the applicable proposal or statement of work should specify the scope, deliverables, estimated timelines, project fees, payment milestones, revisions, and exclusions.

For subscription-based services, the applicable pricing page, plan description, order confirmation, or subscription agreement will specify the features, billing period, usage allowances, and included services.

Work that falls outside the agreed scope may require additional fees and a revised timeline. We will communicate material changes and obtain the necessary approval before undertaking separately chargeable work.

Verbal discussions do not automatically modify an existing written agreement. Any material change to scope, fees, or deadlines should be confirmed in writing.

5. Eligibility and Account Responsibilities

You must have the legal capacity to enter into an agreement with us. If you purchase services on behalf of a business, you confirm that you are authorised to act for that business.

You agree to:

  • Provide accurate and complete information.
  • Keep your account and contact details current.
  • Protect your login credentials and access tokens.
  • Use our services lawfully and for their intended purposes.
  • Notify us promptly of suspected unauthorised access.
  • Ensure that information and materials supplied to us may lawfully be used for the agreed work.

You are responsible for activity conducted through your account, except to the extent that applicable law or our own actions establish otherwise.

6. Pricing, Payments, and Taxes

Service prices and payment schedules will be communicated through our website, subscription checkout, quotation, invoice, or written agreement.

Unless otherwise stated:

  • Subscription fees are payable in advance for the selected billing period.
  • Project payments must follow the agreed milestone or invoice schedule.
  • Advertising budgets, hosting, domain registration, premium plugins, third-party software, API usage, messaging charges, and other external expenses are excluded unless expressly included in the agreed price.
  • Applicable taxes, including GST where chargeable, will be shown or communicated as required by law.
  • Additional work requested outside the agreed scope may be separately quoted and charged.

Payments may be processed through third-party payment providers, including Razorpay or other available payment methods. Their applicable processing terms may also apply.

We do not store complete payment-card details when payment processing is handled by an external payment provider.

If an invoice remains unpaid, we may provide notice and suspend affected services where reasonably necessary and legally permissible. We will not use this provision to override any non-waivable rights or obligations under applicable law.

7. Subscription Billing, Renewal, and Cancellation

Subscription terms depend on the plan purchased.

7.1 Billing

Subscriptions may be offered on a monthly, annual, or other clearly stated billing cycle. The price, billing interval, renewal conditions, and included usage must be disclosed before purchase.

7.2 Automatic Renewal

A subscription will renew automatically only where automatic renewal has been clearly disclosed and the required customer authorisation has been obtained.

Where applicable, customers are responsible for cancelling a subscription before its stated renewal date if they do not wish to renew, subject to the cancellation method and applicable law.

7.3 Cancellation

Customers may request cancellation through the method specified on the relevant product or subscription page.

Unless the applicable plan states otherwise, cancellation prevents future renewals but does not automatically entitle the customer to a refund for the current billing period.

Access may continue until the end of the paid period, unless the subscription is terminated earlier for a permitted reason.

7.4 Usage Limits

Subscriptions may include limits on messages, AI requests, credits, users, storage, integrations, or other usage.

Unused allowances expire at the end of the applicable period unless the relevant plan expressly permits rollover.

We will communicate material usage restrictions through the applicable plan or product documentation.

8. Refunds and Failed Payments

Refund eligibility depends on the service purchased and the applicable refund and cancellation policy.

For subscriptions, project services, and digital products, the relevant policy should clearly state the circumstances in which refunds are available, the treatment of partially completed work, and any applicable processing time.

Where a payment succeeds but the service is not activated, customers should contact us with their transaction reference. We will investigate and arrange activation, correction, or a refund where appropriate.

Duplicate payments, verified billing errors, and other eligible refund requests will be reviewed fairly and handled in accordance with the applicable policy and law.

A blanket statement that all payments are non-refundable will not override statutory consumer rights or any refund obligation that applies by law.

Our Refund & Cancellation Policy, when published, forms part of these Terms and should be read together with them.

9. Digital Marketing and Advertising Services

9.1 No Guaranteed Marketing Results

Digital marketing results depend on many factors, including competition, search engine algorithms, advertising platform decisions, budget, market conditions, website quality, and customer behaviour.

We do not guarantee specific search rankings, traffic volumes, leads, sales, advertising returns, revenue, or other commercial outcomes unless a specific written agreement expressly provides otherwise.

SEO and paid advertising performance can fluctuate even when reasonable professional efforts are applied.

9.2 Advertising Spend

Advertising budgets paid to Google, Meta, or other advertising platforms are separate from our management fees unless expressly included in the agreement.

You are responsible for approving the advertising budget and ensuring that sufficient funds are available in the relevant advertising account.

We are not responsible for advertising charges imposed directly by third-party platforms, except to the extent that a charge results from our own breach of an applicable agreement or legal obligation.

9.3 Client Cooperation

You agree to provide necessary content, business information, account access, approvals, and feedback within reasonable timelines.

Delays in receiving these materials or approvals may affect project timelines and campaign performance.

You are responsible for the accuracy of product claims, prices, offers, business information, and other materials you authorise us to publish or advertise.

9.4 Platform Changes

Search engines, advertising networks, social media platforms, and business listing providers may change their policies, features, algorithms, or account requirements.

We cannot control those decisions and do not guarantee uninterrupted access to third-party platforms or continued performance following a platform change.

10. Website, Application, and Custom Software Development

10.1 Requirements and Scope

Development projects will follow the requirements and deliverables agreed in the applicable proposal or statement of work.

Features, integrations, design changes, additional pages, and functionality requested after approval of the original scope may incur additional charges and require a revised delivery date.

10.2 Client Materials

You are responsible for ensuring that content, images, logos, trademarks, data, and other materials supplied by you may lawfully be used for the project.

You must obtain any permissions, licences, or consents required for those materials.

10.3 Testing and Acceptance

Where applicable, we may provide a staging version, demonstration, or test build for review.

You agree to review the deliverables within the review period specified in the project agreement and report material defects or deviations from the agreed specifications.

Acceptance, testing, correction periods, and launch arrangements will follow the applicable project agreement. Silence or failure to respond will not automatically waive any rights that cannot legally be waived.

10.4 Maintenance and Support

Ongoing maintenance, hosting, backups, security monitoring, updates, and technical support are included only where specified in the relevant agreement or plan.

A completed development project does not automatically include indefinite maintenance or support.

Third-party licences, domain renewals, hosting charges, and other recurring expenses remain payable as agreed.

10.5 Source Code and Ownership

Ownership and transfer of source code, design files, documentation, and other deliverables will be determined by the written project agreement.

Unless expressly agreed otherwise, third-party software, open-source components, pre-existing tools, reusable frameworks, and our general know-how remain subject to their respective ownership and licensing terms.

Where a project agreement provides for transfer of ownership or delivery of source code, the transfer will take effect in accordance with that agreement, including any agreed payment conditions.

We will not represent that third-party or open-source components can be transferred free of their existing licence restrictions.

11. AI Services and WhatsApp Chatbots

AI-powered services may use language models, optical character recognition, translation, speech generation, automated workflows, or other machine-learning technologies.

11.1 AI Limitations

AI-generated responses, translations, extracted text, summaries, recommendations, and other outputs may be inaccurate, incomplete, misleading, or unsuitable for a particular purpose.

You should independently verify important outputs before relying on them, especially for legal, medical, financial, safety-critical, or other consequential decisions.

We do not guarantee that AI outputs will always be accurate, complete, available, or free from errors.

11.2 WhatsApp and Other Third-Party Platforms

WhatsApp chatbot services may depend on Meta, the WhatsApp Business Platform, external APIs, hosting providers, and AI providers.

Your use of these services must comply with the applicable third-party terms, policies, and technical requirements.

We are not affiliated with, endorsed by, or acting on behalf of Meta or WhatsApp unless expressly stated.

Changes to third-party policies, pricing, API access, account eligibility, or technical functionality may affect the availability or operation of a chatbot.

11.3 User Content and Permissions

You must have the necessary rights and permissions to submit images, documents, messages, contact details, and other content to our AI services.

You must not use our services to process information unlawfully or to infringe another person’s rights.

Where an AI product processes personal information, the applicable privacy notice and data-handling arrangements will also apply.

11.4 Prohibited Use

You must not use our AI products to:

  • Send unlawful, deceptive, or unsolicited communications.
  • Impersonate another person or organisation.
  • Commit fraud or facilitate unlawful activity.
  • Infringe intellectual property or privacy rights.
  • Circumvent usage limits or access controls.
  • Interfere with service security or attempt unauthorised access.
  • Use automated outputs in ways that violate applicable law or third-party platform policies.

We may restrict or suspend access where reasonably necessary to address misuse, security risks, legal requirements, or material breaches of these Terms.

12. Intellectual Property

The Cogitaxis website, its original content, branding, design elements, and proprietary materials are protected by applicable intellectual property laws.

You may not copy, reproduce, distribute, modify, sell, or commercially exploit our protected materials without permission, except where permitted by law.

You retain ownership of materials you supply to us, subject to the rights necessary for us to perform the agreed services.

For project deliverables, ownership and licence rights will be governed by the relevant written agreement.

We may use general skills, experience, ideas, techniques, and know-how developed while performing services, provided we do not improperly disclose your confidential information or infringe your rights.

We will obtain your permission before using confidential project materials or identifying you as a client in a public case study or testimonial, unless otherwise agreed in writing.

13. Confidentiality

Each party agrees to take reasonable steps to protect confidential information received from the other party in connection with an engagement.

Confidential information may be used only for the purposes of the engagement and disclosed only to persons who reasonably need it and are subject to appropriate confidentiality obligations, or where disclosure is required by law.

This obligation does not apply to information that is publicly available without breach, independently developed, lawfully received from another source, or required to be disclosed by a competent authority.

14. Privacy and Data Protection

We handle personal information in accordance with our Privacy Policy and applicable data protection laws.

You should review our Privacy Policy to understand what information we collect, why we collect it, how it is used, and how it may be shared with service providers.

Where we process personal data on your behalf, the parties should agree on appropriate data-processing responsibilities, security measures, retention periods, and any required contractual safeguards.

You are responsible for ensuring that you have the lawful basis and necessary permissions to provide personal data to us for the agreed services.

15. Third-Party Services and External Links

Our services may integrate with or depend on third-party products, APIs, platforms, plugins, payment gateways, hosting services, and software providers.

Third-party services are subject to their own terms, privacy policies, pricing, and availability.

We do not control third-party services and cannot guarantee their continuous availability, security, or compatibility.

Where a third-party service is separately billed, the applicable charges and payment responsibility will be communicated as part of the relevant engagement.

Links to external websites are provided for convenience and do not necessarily imply endorsement.

16. Service Availability and Security

We will use reasonable efforts to provide the services described in the applicable agreement.

However, uninterrupted availability cannot be guaranteed where services depend on internet connectivity, infrastructure providers, scheduled maintenance, third-party APIs, or events outside our reasonable control.

We may carry out maintenance, updates, and security changes as reasonably necessary.

We will take reasonable measures appropriate to the service to protect systems and information, but no online service can be guaranteed to be completely secure.

Nothing in this section excludes obligations that applicable law requires us to fulfil.

17. Suspension and Termination

Either party may terminate a project or subscription in accordance with the applicable agreement and cancellation policy.

We may suspend or terminate affected services where reasonably necessary if:

  • You materially breach these Terms or the applicable agreement.
  • Payments remain overdue after appropriate notice.
  • Your use creates a material security risk or violates applicable law.
  • A third-party platform withdraws access necessary to provide the service.
  • Continued provision becomes unlawful or technically impracticable.

Where reasonably possible, we will provide notice and an opportunity to remedy the issue before suspension or termination.

On termination, access to subscription services may end in accordance with the relevant plan. Outstanding fees, refund eligibility, delivery of completed work, and return or deletion of information will be handled under the applicable agreement, policies, and law.

Termination does not remove accrued payment obligations or other provisions that are intended to survive termination.

18. Limitation of Liability

To the extent permitted by applicable law, Cogitaxis will not be liable for indirect, incidental, special, or consequential losses arising from use of the website or services, including loss of profits, business opportunities, anticipated savings, or data, where such exclusion is legally permissible.

Our responsibility for a particular engagement will be assessed in light of the applicable agreement, the nature of the claim, and applicable law.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including applicable statutory consumer rights and liability arising from fraud or wilful misconduct where such limitation is prohibited.

Where a separate written agreement contains a valid, expressly agreed liability limit, that limit will apply to the extent legally enforceable.

19. Indemnity

To the extent permitted by law, you are responsible for claims and losses arising from your unlawful use of our services, your infringement of third-party rights, or materials you supplied without the necessary rights or permissions.

This provision does not require you to indemnify us for losses caused by our own breach of contract, unlawful conduct, negligence, or other conduct for which applicable law does not permit indemnification to be imposed on you.

20. Force Majeure

Neither party will be responsible for a delay caused by events beyond its reasonable control, such as natural disasters, widespread internet or infrastructure failures, government restrictions, civil disturbances, or significant third-party service outages.

The affected party will use reasonable efforts to reduce the impact and resume performance when practicable.

Payment obligations for services already provided remain subject to the applicable agreement and law.

21. Changes to These Terms

We may update these Terms to reflect changes in our services, business operations, technology, or legal requirements.

The revised version will be published on this page with an updated date.

Where a change materially affects an existing paid subscription or contractual engagement, we will provide notice where required by law or the applicable agreement.

Changes will not retrospectively remove rights that have already accrued or override mandatory legal protections.

22. Governing Law and Disputes

These Terms are governed by the laws of India.

The parties will attempt to resolve disputes through good-faith discussions.

Where a dispute cannot be resolved informally, it may be referred to the courts or other competent dispute-resolution forum having jurisdiction under applicable law.

Nothing in this section restricts any mandatory rights a consumer may have to approach a competent consumer commission or other legally authorised forum.

23. General Provisions

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue to apply to the extent legally permissible.

A failure to enforce a provision does not automatically waive the right to enforce it later.

These Terms, together with the applicable proposal, order confirmation, product-specific terms, and other expressly incorporated policies, form the agreement governing the relevant service.

Where a signed project agreement expressly conflicts with these general Terms, the signed agreement will prevail for that specific engagement to the extent of the conflict and subject to applicable law.
